BYLAWS ARTICLE I Name and Purpose Section 1. NAME: The name of this organization is THE USF ST. PETERSBURG RETIRED FACULTY/STAFF ASSOCIATION (USFSP-RFSA). This association shall be conducted not-for-profit. Section 2. PURPOSE: Its purpose is to create, enhance, and further the activities that are shared among the members, the University, and the community to produce and strengthen the social and cultural bonds intrinsically common to the three entities. ARTICLE II Membership Section 1. CLASSES OF MEMBERSHIP:

ARTICLE III Board of Directors and Election Section 1. The Board shall consist of at least six elected Directors. Section 2. These Directors shall be elected by the board for a term of two years. The terms correspond to the fiscal year of the University beginning on July 1st and terminating on June 30. The fiscal year of USFSP-RSFA shall conform to the calendar year. Section 3. These Directors shall elect annually from among their members: Chair(s), one or more Vice Chairs, a Recording Secretary, a Treasurer, and other officers as may be deemed to be appropriate. These officers shall perform the duties prescribed by Robert’s Rules of Order, Newly Revised. Section 4. In January of each year a Nominating Committee, consisting of members of the Association in good standing, shall be elected by the Board. Candidates for Director may be nominated by the Nominating Committee, or any other member, or be self nominated. The Nominating Committee must produce a slate of the requisite number of Directors Section 5. Replacement. In the event of a vacancy on the Board, for whatever reason, the Chair shall appoint, with the concurrence of the Board, a member in good standing to serve the remainder of the unexpired term. Board members may be terminated by having three consecutive, unexcused absences, which may be appealed to the USFSP-RSFA Board. Section 6. The Board shall meet not fewer than two (2) times per year. Four members of the Board shall constitute a quorum for the transaction of business. ARTICLE IV Meetings There shall be no regular meetings of the Association. However, every effort shall be made to hold a minimum of two meetings each year, one during the spring and one during the fall season. ARTICLE V Records of the Association The outgoing officers and committee chairs shall turn over to their successors all properties of the Association upon expiration of their terms of office. ARTICLE VI Dissolution In the event of dissolution, all properties of whatever nature will be turned over the University of South Florida Foundation, Inc. for the exclusive benefit of USF St. Petersburg. ARTICLE VII Amendment These Bylaws may be amended or modified by the USFSP-RFSA Board, by a two-thirds (2/3) vote of the members present and voting. ARTICLE VIII Effective Date Section 1. The Bylaws shall become effective immediately after their adoption by the Board. Section 2. Any action by USFSP-RFSA contrary to the provisions of these Bylaws or the regulations of USF St. Petersburg is null and void. Section 3. The current edition of Robert’s Rules of Order shall prevail in all matters not covered by these Bylaws.
